Agreement to these terms

These Terms of Service ('Terms') form a binding agreement between you and Pathwize and govern your access to and use of the Pathwize platform, websites and related services (the 'Service'). By accessing or using the Service, you agree to these Terms. If you use the Service on behalf of an organisation, you represent that you are authorised to bind that organisation, and 'you' refers to that organisation.

The service

Pathwize provides an EU-native platform for sourcing, engaging and working with credential-verified experts to produce and evaluate data for AI training and evaluation, with provenance recorded throughout. We may improve, change, add or remove features over time. Some features may be offered on a free, invite-only or paid basis, and access may be subject to approval.

Accounts and eligibility

You must be at least 18 years old and provide accurate, complete information when you create an account. You are responsible for safeguarding your credentials and for all activity that occurs under your account. Notify us promptly at security@gopathwize.com if you suspect unauthorised use.

Acceptable use

You agree not to: use the Service unlawfully or in breach of third-party rights; upload malicious code or attempt to disrupt, probe or circumvent the security of the Service; scrape, reverse engineer or copy the platform except as permitted by law; attempt to re-identify individuals from data where prohibited; or misrepresent your identity or authority. We may suspend or limit access to protect the Service, our users or the experts on the platform.

Customer data and intellectual property

As between the parties, you retain all rights in the data and content you submit to the Service ('Customer Data'). Pathwize claims no ownership of Customer Data, does not use it to train its own or third-party general-purpose models, and never repurposes or resells it. We process Customer Data only to provide the Service and in accordance with our Data Processing Addendum. Pathwize retains all rights in the platform, software, models, and its own materials. Deliverables produced specifically for you are assigned to you upon full payment.

Experts and the honest hybrid workflow

Work on the platform follows an honest hybrid workflow: AI may draft, but a credential-verified expert reviews, overrides where needed, and owns the final human judgment, which is recorded in the provenance trail. Experts are engaged with clean, jurisdiction-correct worker classification as described in the Worker Terms.

Fees and payment

Where the Service is provided for a fee, fees, billing frequency and payment terms are set out in the applicable order form or plan. Fees are exclusive of taxes, which you are responsible for where required. Late payments may result in suspension of paid features. Free-tier access is provided without charge and may be modified or withdrawn.

Confidentiality

Each party may receive confidential information of the other. The receiving party will protect it with reasonable care, use it only to perform under these Terms, and not disclose it except to personnel and advisers who need it and are bound by confidentiality obligations, or as required by law.

Warranties and disclaimers

The Service is provided 'as is' and 'as available'. To the maximum extent permitted by law, Pathwize disclaims all implied warranties, including merchantability, fitness for a particular purpose and non-infringement, and does not warrant that the Service will be uninterrupted, error-free or meet every requirement. You are responsible for your use of any outputs, including compliance with laws applicable to you.

Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Each party's total aggregate liability arising out of or relating to the Service is limited to the fees paid or payable by you to Pathwize in the twelve months before the event giving rise to the claim (or, for free-tier use, one hundred euros). Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

Term and termination

These Terms apply while you use the Service. You may stop using the Service at any time. We may suspend or terminate access if you materially breach these Terms, if required by law, or if we discontinue the Service. On termination, your right to use the Service ends; you may export Customer Data for a reasonable period, after which we will delete or anonymise it in line with our retention practices, except where retention is legally required.

Changes to the service and these terms

We may update the Service and these Terms from time to time. The 'Last updated' date reflects the current version. For material changes we will provide notice where required, and your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

Governing law and disputes

These Terms are governed by the laws of [the EU member state of Pathwize's establishment, to be confirmed], without regard to conflict-of-law rules, and the courts of that jurisdiction have exclusive jurisdiction, subject to any mandatory consumer protections that apply to you.
